1. NVIDIA软件开发套件许可协议

重要通知 - 在下载、安装、复制或使用授权软件前请仔细阅读：

本许可协议，包括所附附录（"协议"）是您与英伟达公司（"NVIDIA"）之间的法律协议，规范您对NVIDIA软件开发工具包（"SDK"）的使用。

每个SDK都包含其专属的软件和资料，以下是SDK中可能包含的项目类型说明：源代码、头文件、API接口、数据集和资源（例如图像、纹理、模型、场景、视频、原生API输入/输出文件）、二进制软件、示例代码、库文件、实用程序、编程代码以及相关文档。

本协议仅可由在使用SDK的国家/地区达到法定成年年龄的成年人接受。

如果您代表公司或其他法律实体签署本协议，即表示您拥有使该实体受本协议约束的法律权限，在此情况下，“您”即指您所代表的实体。

如果您未达到接受本协议所需的年龄或权限，或者不接受本协议的所有条款和条件，请不要下载、安装或使用该SDK。

您同意仅出于以下目的使用SDK：(a)本协议允许的目的，以及(b)相关司法管辖区任何适用法律、法规或普遍接受的实践或指南允许的目的。

1.1. 许可证

1.1.1. 许可授权

根据本协议的条款，NVIDIA特此授予您一项非排他性、不可转让的许可，无权进行分许可（除非本协议中另有明确规定），许可范围包括：

安装并使用SDK
修改并创建SDK中提供的示例源代码的衍生作品，以及
分发SDK中被本协议标识为可分发部分，以目标代码格式集成到符合本协议规定的分发要求的软件应用中。

1.1.2. 分发要求

以下是您行使分发授权需要满足的分发要求：

您的应用程序必须具备实质性的额外功能，超出SDK包含的部分。
SDK的可分发部分仅应由您的应用程序访问。
在分发修改后的示例源代码及其衍生作品时，必须包含以下声明："本软件包含由NVIDIA Corporation提供的源代码。"
除非本协议中明确标识为可分发，否则开发者工具仅供内部使用。
您分发应用程序的条款必须与本协议条款一致，包括（但不限于）与许可授予、许可限制以及保护NVIDIA知识产权相关的条款。此外，您同意将保护应用程序用户的隐私、安全和法律权利。
您同意以书面形式通知NVIDIA任何已知或疑似不符合本协议要求的SDK分发或使用行为，并执行您与所分发SDK相关的协议条款。

1.1.3. 授权用户

您可以允许您实体或子公司的员工和承包商从您的安全网络访问和使用SDK，以代表您执行工作。

如果您是学术机构，可以允许该学术机构的注册学生或教职员工从您的安全网络访问和使用SDK。

您有责任确保授权用户遵守本协议的条款。如果您发现授权用户未遵循本协议条款，您同意采取合理措施解决违规行为并防止再次发生。

1.1.4. 预发布版SDK

被标记为alpha、beta、预览版或其他预发布版本的SDK可能功能不完整，可能包含错误或设计缺陷，并且与NVIDIA商业版软件和材料相比，其安全性、隐私性、可访问性、可用性和可靠性标准可能降低或有所不同。使用预发布版SDK可能导致意外结果、数据丢失、项目延误或其他不可预测的损害或损失。

您可以自行承担风险使用预发布版SDK，但需理解预发布版SDK不适用于生产环境或关键业务系统。

NVIDIA可能选择不发布任何预发布SDK的商业版本。NVIDIA也可能随时选择终止开发并停止提供预发布SDK，且不承担任何责任。

1.1.5. 更新

NVIDIA可自行决定是否提供针对此SDK的补丁、变通方案或其他更新。除非更新附带单独的管辖条款，否则这些更新将被视为本协议下授权给您的SDK组成部分。您同意NVIDIA提供的SDK形式和内容可能会在未事先通知您的情况下发生变更。虽然NVIDIA通常保持各版本间的兼容性，但在某些情况下可能会进行导致未来SDK版本出现不兼容性的更改。

1.1.6. 其他许可证下的组件

该SDK可能捆绑、包含或随附NVIDIA或第三方组件，这些组件附带单独的法律声明或条款，详见SDK随附的专有声明。如果本协议条款与组件相关的许可条款之间存在冲突，则以组件相关许可条款为准，但仅限于解决冲突所需的范围内。

在本协议其他条款的约束下，您可以使用SDK来开发和测试基于开放源代码促进会(OSI)批准的开源软件许可证发布的应用程序。

1.1.7. 权利保留

NVIDIA保留SDK的所有权利、所有权和利益，除非本协议明确授予您。

1.2. 限制

以下许可限制适用于您对SDK的使用：

您不得对SDK或其副本进行逆向工程、反编译或反汇编，也不得移除任何部分的版权或其他专有声明。
除本协议明确允许的情况外，您不得复制、出售、出租、分许可、转让、分发、修改或基于SDK任何部分创建衍生作品。需特别说明的是，您不得将SDK作为独立产品进行分发或授予分许可。
除非您与NVIDIA就此达成协议，否则不得声称使用该SDK创建的应用程序是由NVIDIA赞助或认可的。
您不得绕过、禁用或规避SDK中的任何加密、安全、数字版权管理或身份验证机制。
您不得以任何可能导致SDK受开源软件许可证约束的方式使用该SDK。例如，那些要求以使用、修改和/或分发为条件而将SDK置于以下情况的许可证：
1. 以源代码形式披露或分发;
2. 授权用于制作衍生作品；或
3. 可免费再分发。
您确认并同意，NVIDIA未对提供的SDK进行测试或认证，以确保其可用于设计、建造、维护和/或操作任何系统，若此类系统的使用或故障可能导致威胁人类生命安全或造成灾难性损害的情况（以下简称"关键应用"）。关键应用的示例包括航空电子设备、导航、自动驾驶汽车应用、汽车产品的人工智能解决方案、军事、医疗、生命支持或其他生命关键应用。对于因上述用途而产生的任何索赔或损害，NVIDIA对您或任何第三方均不承担全部或部分责任。您全权负责确保使用SDK开发的任何产品或服务整体包含足够的功能，以符合所有适用的法律和监管标准及要求。
您同意为NVIDIA及其关联公司，以及它们各自的员工、承包商、代理、高级职员和董事提供辩护、赔偿并使其免受损害，对于因在关键应用中使用或用于关键应用的SDK产品及服务，以及在本协议范围之外使用SDK或未遵守其条款而产生的任何及所有索赔、损害、义务、损失、责任、成本或债务、罚款、赔偿和费用（包括但不限于确立赔偿权所涉及的律师费和费用）。
您不得出于将此类输出产物转换以针对非NVIDIA平台的目的，对使用SDK元素生成的任何输出部分进行逆向工程、反编译或反汇编。

1.3. 所有权

NVIDIA或其授权方拥有SDK及其修改和衍生作品的所有权利、所有权和权益，包括各自的知识产权，但受限于您在第1.3.2节下的权利。本SDK可能包含来自NVIDIA授权方的软件和材料，这些授权方是预期的第三方受益人，可就其知识产权强制执行本协议。

1.4. 免责声明

本SDK由NVIDIA按"现状"及"包含全部缺陷"的形式提供。在法律允许的最大范围内，NVIDIA及其关联公司明确否认任何明示、默示或法定的担保，包括但不限于对适销性、特定用途适用性、所有权、不侵权或无潜在或明显缺陷的任何担保。不基于商业惯例、交易过程或行业惯例作出任何担保。

1.5. 责任限制

在法律允许的最大范围内，NVIDIA及其关联公司不对以下任何情况承担责任：(I) 特殊、附带、惩罚性或后果性损害，或(II) 因(A)任何利润损失、使用损失、数据损失或商誉损失，或(B)采购替代产品的成本而产生的损害，无论此类责任是因违约、违反保证、侵权（包括过失）、产品责任或其他任何诉讼理由或责任理论引起，且均与本协议或SDK的使用或性能相关。在任何情况下，NVIDIA及其关联公司在本协议项下或由本协议引起的累计总责任均不得超过10美元。责任性质或索赔/诉讼数量均不得扩大或延伸此责任限制。

无论NVIDIA或其关联公司是否被告知此类损害的可能性，也无论补救措施是否未能达成其基本目的，这些责任排除和限制条款均适用。这些责任排除和限制条款构成双方交易的重要基础，如果缺少其中任何一项责任排除或限制条款，本协议的各项规定（包括但不限于经济条款）将存在重大差异。

1.6. 终止

本协议将持续有效，直至您或NVIDIA根据下述条款终止为止。
如果您想终止本协议，可以通过停止使用SDK来实现。
NVIDIA可在以下情况下随时终止本协议：
1. (i) 您未能遵守本协议的任何条款，且在NVIDIA发出通知后三十(30)天内未予纠正（若您侵犯NVIDIA知识产权则立即终止）；
2. (ii) 您就SDK对NVIDIA提起或参与任何法律诉讼；或
3. (iii) NVIDIA决定不再在某个国家提供该SDK，或者根据NVIDIA单方面判断，继续使用该SDK在商业上不再可行。
本协议终止后，您同意立即停止使用SDK并销毁您拥有或控制的所有副本。您根据本协议先前进行的分发不受本协议终止的影响。根据书面请求，您需书面证明已履行本节规定的义务。本协议终止后，除授权许可条款外，所有其他条款仍然有效。

1.7. 概述

如果您希望转让本协议或您的权利和义务，包括通过合并、整合、解散或法律运作的方式，请联系NVIDIA申请许可。任何未经NVIDIA书面批准而尝试进行的转让均属无效且不具效力。NVIDIA可转让、委派或转移本协议及其权利和义务，若转让给非关联方，您将收到通知。

您同意与NVIDIA合作，并提供合理要求的信息以验证您对本协议的遵守情况。

本协议在所有方面均受美国法律和特拉华州法律管辖，不考虑法律冲突原则。明确排除《联合国国际货物销售合同公约》的适用。您同意以英文版本的本协议条款为准。

本协议引起的任何争议或索赔，应由位于美国加利福尼亚州圣克拉拉县的州法院或联邦法院专属管辖。尽管如此，您同意NVIDIA仍有权在任何司法管辖区申请禁令救济或同等类型的紧急法律救济。

如果任何有管辖权的法院认定本协议的任何条款非法、无效或不可执行，则该条款应被解释为在必要的范围内进行限制，以使其在法律上保持一致并完全可执行，其余条款仍保持完全效力。除非另有规定，补救措施是累积性的。

各方确认并同意，另一方在本协议履行过程中是独立的承包商。

该SDK完全由私人资金开发，属于"商业项目"，包含"商业计算机软件"和"商业计算机软件文档"，享有受限权利。美国政府或其分包商的使用、复制或披露行为需遵守本协议中的限制条款，依据DFARS 227.7202-3(a)或FAR 52.227-19中商业计算机软件-受限权利条款的(c)(1)和(2)子项规定（视情况适用）。承包商/制造商为NVIDIA公司，地址：加利福尼亚州圣克拉拉市圣托马斯高速公路2788号，邮编95051。

该SDK受美国出口法律法规的约束。您同意不会将SDK运输、转移或出口到任何国家，或以任何方式使用SDK，这些行为被美国工业与安全局或美国财政部外国资产控制办公室（OFAC）管理的经济制裁法规，或任何适用的出口法律、限制或法规所禁止。这些法律包括对目的地、最终用户和最终用途的限制。通过接受本协议，您确认您不位于目前受美国禁运的国家或以其他方式根据美国法律被禁止接收SDK的国家。

NVIDIA根据本协议向您发出的任何通知将通过邮件、电子邮件或传真送达。您同意NVIDIA以电子形式发送给您的任何通知均满足法律通讯要求。请将您的法律通知或其他信函寄送至：美利坚合众国加利福尼亚州圣克拉拉市圣托马斯高速公路2788号NVIDIA公司，收件人：法律部。

本协议及纳入本协议的任何附件构成双方就本协议主题事项的完整协议，并取代双方之前就本SDK许可进行的所有谈判或交换的文件。由贵方出具的文件中任何附加和/或冲突条款均无效、作废且不具备法律效力。对本协议的任何修改或放弃必须以书面形式作出，并由双方代表签署。

2. CUDA工具包对NVIDIA软件开发套件软件许可协议的补充

本补充条款在您的许可协议（"协议"）条款基础上，结合本补充条款，对您使用NVIDIA CUDA Toolkit SDK进行规范。下文使用但未定义的 capitalized terms（大写术语）具有协议中赋予的含义。

本补充条款是协议的附件，并作为协议不可分割的组成部分。若本补充条款与协议条款存在冲突，以本补充条款为准。

2.1. 许可范围

该SDK授权您开发仅适用于配备NVIDIA GPU系统的应用程序。

2.2. 分发

根据协议可分发的那部分SDK内容列在附件A中。

2.3. 操作系统

SDK中专门设计用于Linux或FreeBSD操作系统，或从这些操作系统源代码衍生的其他操作系统的部分，可以根据本协议复制和重新分发以供使用，前提是目标代码文件不做任何修改（解压缩压缩文件除外）。

2.4. 音频与视频编解码器

您确认并同意，您有责任自行获取任何所需的第三方许可，以制造、委托制造、使用、委托使用、销售、进口及提供销售包含或涉及任何第三方软件及内容的您的产品或服务，这些软件及内容与音频和/或视频编码器及解码器相关，包括但不限于来自微软、汤姆逊、弗劳恩霍夫IIS、Sisvel S.p.A.、MPEG-LA和Coding Technologies的产品。根据本协议，NVIDIA并未向您授予任何与音频和/或视频编码器及解码器相关的必要专利或其他权利。

2.5. 许可协议

如果本协议中的分发条款不适合您的组织，或对本协议有任何疑问，请联系NVIDIA：nvidia-compute-license-questions@nvidia.com。

2.6. 附件A

2.7. 附件 B
